Part A – 24social Enterprise
Introduction
This Part A applies to all Agreements concerning 24social Enterprise.
Agreement
The Agreement is effective and binding on the Parties on the:
- Effective Date specified in the relevant Order Form; or
- If the Effective Date is not specified, the date on which the Order Form is last signed by the Parties (the Effective Date).
The Order Form may be:
- Electronically executed by the Customer acting through its authorized representative (e.g., via DocuSign); or
- Executed in signed writing between the Parties.
Order Form
The Order Form shall describe (amongst other matters):
- The Effective Date.
- Addresses for notices.
- The Portal (e.g., the CMS dashboard).
- The Restrictions (if any).
- The Fees.
- The Payment method.
- The Additional Services (if any).
- 24social Customer Success (if different from the 24social Customer Success Policy).
Term
Unless expressly stated otherwise in the Order Form, the Agreement:
- Is effective from the Effective Date.
- Shall continue for an initial period of twelve (12) calendar months from the Effective Date (the Term).
The Term shall automatically renew for successive twelve (12)-month periods (each a Renewal Period) unless one Party provides written notice (including by email) of its intent not to renew at least 90 days before the expiry of:
- The initial Term (for the first renewal); or
- The current Renewal Period (for all subsequent renewals).
24social Enterprise Specification
For the purposes of clause 3.1.1 of the Cloud GTCs, 24social shall ensure that 24social Enterprise performs in technical and functional respects in accordance with the specification located at [●] (the 24social Enterprise Specification).
Notwithstanding clause 3.2 of the Cloud GTCs, 24social shall ensure that Modifications do not result in:
- A material reduction to or
- Loss of functionality, performance, transmission speeds, content, latency, or accuracy of 24social Enterprise.
Restrictions
The Customer acknowledges and agrees that the 24social Product Licence for 24social Enterprise is subject to the restrictions specified in the Order Form (Restrictions), including potential limitations on the number of End Users permitted.
Where Restrictions apply, the Customer shall not:
- Authorise more End Users to use 24social Enterprise than the number of subscriptions purchased.
- Share an individual subscription between multiple End Users unless it has been fully reassigned to a new End User.
24social Customer Success
Where purchased in an Order Form, 24social shall provide the 24social Customer Success services in accordance with:
- The Agreement.
- The 24social Customer Success Policy.
Fees and Payments
The Fees for 24social Enterprise and 24social Customer Success shall be:
- As described in the Order Form.
- Invoiced in advance on a monthly or annual basis (as specified in the Order Form).
- Payable:
- On or before the Due Date; or
- By direct debit on or before the last day of each calendar month, as described in the Order Form.
Part B – 24social My Place
Introduction
This Part B applies to all Agreements concerning 24social My Place.
Agreement
The Agreement is electronically executed by the Customer acting through its authorized representative.
By scrolling through the Cloud GTCs and either:
- Clicking “Accept”; or
- Completing any other affirming acts required by the registration process,
(the Electronic Signature), the Customer unconditionally:
- Confirms that its authorized representative has the necessary authority to accept the Agreement on its behalf.
- Agrees to be bound by the Agreement.
Term
The Agreement is effective from the date the Electronic Signature is created (the Effective Date) and shall continue unless and until terminated by either Party in accordance with:
- The Cloud GTCs; or
- Paragraph 4 (Termination for Convenience).

Termination for Convenience
Either Party may terminate the Agreement for convenience by:
- Providing written notice (including via email).
- The termination shall become effective on the final day of the calendar month following the month in which notice was received.
24social My Place Specification
For the purposes of clause 3.1.1 of the Cloud GTCs, 24social shall ensure that 24social My Place performs in technical and functional respects in accordance with the specification located at [●] (the 24social My Place Specification).
Fees and Payments
The Fees for 24social My Place shall be:
- As described in the 24social My Place Fees Policy.
- Invoiced in advance on a monthly basis.
- Payable by direct debit on the Effective Date and on a monthly basis thereafter.
24social My Place Fees Policy
The 24social My Place Fees Policy is:
- Located at [●].
- Subject to updates by 24social in accordance with paragraph 6.2.
Amendments
- 24social may amend the Fees Policy at any time by providing notice (via email or update to 24social My Place/Portal).
- Amendments take effect at the beginning of the next calendar month following the notice.
- The Customer’s continued use of 24social My Place after the notice constitutes acceptance of the amendment.
Data Export
Upon expiry or termination of the Agreement, 24social shall use reasonable endeavours to:
- Export all Customer-generated data and content within 24social My Place.
- Provide the export to the named account holder in a reasonable format determined by 24social.
